Welcome to Venda Technologies. These Terms of Service (“Terms”) govern your use of our website (vendatechnologies.com) and the web engineering, design, and digital marketing services (“Services”) provided by Venda Technologies (“we,” “us,” or “our”).
By accessing our website or engaging us for a project, you (“Client” or “you”) agree to be bound by these Terms. If you do not agree with these Terms, please do not use our website or services.
1. Scope of Services
Venda Technologies specializes in Custom Web & CMS Development, UI/UX Design & Brand Strategy, E-Commerce Web Design, and Technical SEO. The specific details, deliverables, timelines, and costs of your project will be outlined in a separate, customized Project Proposal or Statement of Work (SOW) provided after our discovery phase.
2. Proposals, Pricing, and Payment Terms
Custom Pricing: We do not offer generic pricing packages. All quotes are custom-built based on the specific architectural, design, and technical requirements of your project.
Payment Schedule: Unless otherwise specified in your SOW, our standard payment structure requires a non-refundable deposit (typically 50%) before any strategy or development work begins, with the remaining balance due upon project completion and prior to final deployment/handoff.
Late Payments: Invoices are due upon receipt unless otherwise stated. We reserve the right to pause ongoing development, withhold final asset delivery, or suspend hosting/maintenance services until outstanding balances are cleared.
3. Client Responsibilities
To ensure we hit our delivery milestones (typically 4-6 weeks for standard builds, and 8-12 weeks for complex portals), we require your timely collaboration. You agree to:
Provide all necessary website content (text, images, branding assets) promptly.
Provide feedback and approvals within the timeframes specified in your SOW.
Understand that delayed feedback directly impacts the final launch date and may incur project pause/restart fees if the delay exceeds 14 days.
4. Revisions and Scope Creep
Your Project Proposal covers a specific set of deliverables. We include a generous, structured revision process during the design and development phases.
Scope Creep: Any requests for additional features, pages, or complex integrations that were not included in the original SOW will be treated as a change request. We will provide a transparent cost and timeline estimate for these additions before proceeding.
5. Intellectual Property and Ownership
We believe in radical transparency—we do not hold your digital assets hostage.
Upon Final Payment: Once the final invoice is paid in full, you gain 100% ownership of your website, source code, visual assets, and domain (if purchased on your behalf).
Pre-Payment Ownership: Venda Technologies retains all rights, title, and ownership of the design and code until the project is fully paid for.
Portfolio Rights: Unless a Non-Disclosure Agreement (NDA) is signed, we reserve the right to showcase the completed project in our portfolio, case studies, and social media channels.
6. Search Engine Optimization (SEO) Guarantees
We treat SEO as a mathematical, data-driven science. However, because search engines (like Google) constantly update their algorithms, no honest agency can guarantee a #1 ranking. We guarantee best-in-class technical execution, white-hat strategies, and clean code designed to maximize your visibility over a 3 to 6-month period.
7. Maintenance, Support, and Third-Party Tools
Post-Launch Support: After your website launches, we offer dedicated monthly maintenance retainers to handle security patching, server monitoring, and speed optimization.
Without a Retainer: If you choose not to enroll in a maintenance plan, Venda Technologies is not responsible for future plugin conflicts, security breaches, or website downtime once the final project is handed over and approved.
Third-Party Platforms: We often integrate third-party APIs (e.g., Lipa na M-Pesa, Stripe, WooCommerce). We are not liable for any downtime, fee changes, or service interruptions caused directly by these third-party providers.
8. Warranties and Limitation of Liability
As-Is Services: While we engineer our platforms to the highest standards, our Services are provided “as is” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
Liability Cap: In no event shall Venda Technologies, its founders, or employees be liable for any indirect, incidental, special, or consequential damages (including loss of profits, data, or business interruptions) arising out of the use or inability to use our Services. Our total liability for any claim arising out of these Terms shall not exceed the total amount paid by you for the specific project in dispute.
9. Termination of Services
Either party may terminate a project if the other party breaches a material term of these Terms or the SOW and fails to cure it within 14 days of written notice.
If you cancel a project after work has commenced, the initial deposit is non-refundable, and you will be billed for any additional billable hours completed up to the date of cancellation.
10. Governing Law
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these terms will be handled in the appropriate courts in Nairobi, Kenya.
